1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the AI50 Cognitive Data Companion platform and associated services (collectively, the “Platform”) provided by AI50. By using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

2. Account Setup & Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate registration information and to update it as needed. You are solely responsible for safeguarding your data.

3. Intellectual Property Rights
The Platform and all underlying technology, models, data and other materials are owned by AI50 and its licensors and are protected by intellectual property laws. You retain ownership of any proprietary data or models provided to the Platform. You may access and use the Platform solely for your internal business purposes in accordance with these Terms. Modification, distribution, creation of derivative works or other exploitation of the Platform is prohibited.

4. Acceptable Use & Restrictions
You agree to use the Platform in compliance with all applicable laws, regulations, and generally accepted practices and guidelines. Prohibited activities include but are not limited to: using the Platform to create, store or distribute infringing, defamatory, harmful or illegal content, transmitting malware, attempting to breach security measures, gaining unauthorized access to systems or data, overwhelming the Platform’s systems through automated means, reselling or distributing the Platform, or assisting others in engaging in prohibited acts. AI50 reserves the right to suspend or terminate your access for violations at its sole discretion.

5. Service Changes & Availability
The Platform is provided “as-is” without warranties. AI50 reserves the right to modify, suspend or discontinue the Platform at any time without notice. While we aim for reliable service, interruptions may occur due to security needs, technical issues or other factors.

6. Third-Party Services & Liabilities
The Platform may interact with or allow integration of third-party services which have their own terms that you must comply with. AI50 shall not be liable for any damages caused by such third-party services’ performance, security issues, or violations. You agree to indemnify AI50 if a third-party service provider raises a claim against AI50 as a result of your usage.

7. Limitation of Liability
To the maximum extent permitted by applicable law, neither AI50, its affiliates, nor Microsoft shall be liable for any indirect, incidental, special, consequential or punitive damages arising out of your use or inability to use the Platform.

8. Indemnification
You agree to indemnify, defend and hold AI50, its affiliates and licensors harmless from any claims, demands, liabilities, damages or expenses arising from your violation of these Terms or misuse of the Platform.

9. Termination
AI50 may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Platform ends and you must cease using it.

10. General
These Terms shall be governed by the laws of the State of Michigan. Disputes will be resolved through binding arbitration per the rules of the American Arbitration Association. Notices should be sent to legal@ai50.com.

Privacy Policy

1. Introduction
AI50 is committed to protecting the privacy and security of data processed through our AI50 Cognitive Data Companion platform (“Platform”). This Privacy Policy explains how we collect, use, share and safeguard data.

2. Data Collection
The Platform collects personal data you provide such as name, contact details and account credentials. It also ingests proprietary organizational data like documents, databases, codebases etc. to enable AI model training and natural language interactions. Usage data like queries and conversations may also be collected.

3. Use of Data
We use collected data solely to provide, analyze, improve and secure the Platform. Proprietary data undergoes de-identification and anonymization techniques like redaction and pseudonymization before processing. It resides securely within your environment or AI50’s managed cloud infrastructure.

4. Data Sharing & Disclosure
We do not sell, rent or share proprietary data externally. With your consent, limited metadata may be shared with cloud service providers to maintain Platform functionality, who are contractually bound by strict data handling requirements. Personal data is only disclosed if legally required or to enforce our policies. Limited metadata may be shared with Microsoft’s cloud services as required to run the Platform, who are contractually bound by enterprise data protection requirements.

5. Data Security
We implement industry-standard technical and organizational safeguards like encryption, access controls, monitoring, penetration testing and privacy-enhancing technologies to protect data processed through the Platform’s managed infrastructure.

While we aim for reliable service, interruptions may occur due to security needs, technical issues or other factors impacting the underlying Microsoft Azure platform. We implement safeguards to protect data processed through the Platform’s managed Azure infrastructure, in addition to Microsoft’s native cloud security measures.

6. Data Retention
Account data is retained for the duration of your active account and up to 30 days after closure to resolve any disputes. Proprietary data retention periods are defined by your configured data lifecycle policies. Usage data may be retained for improving the Platform’s AI models.

The Platform integrates with and is built upon various Microsoft Azure AI services like Azure Language Services, Azure Machine Learning, etc. which have their own terms and policies that you must comply with.

7. User Rights
You have rights under applicable data protection laws to access, correct, port and delete personal data processed by us. To exercise these rights, contact legal@ai50.com with your request along with sufficient information to verify your identity. AI50 will respond within 30 days after confirmation of request validity.

To the maximum extent permitted by law, neither AI50 nor Microsoft shall be liable for damages arising from the Platform.

8. Children’s Privacy
Our Platform is not directed towards children under 13 years old. We do not knowingly collect or process personal data from children.

9. Third-Party Services
The Platform may integrate with other services you enable that have their own governing privacy policies which we recommend you review.

10. Policy Updates
We may update this Privacy Policy periodically to reflect changes in data practices or legal requirements. Material changes will be notified via the Platform or through direct communication.

11. Microsoft Responsibility
The Platform utilizes Microsoft Azure cloud services. Microsoft’s privacy practices, compliance programs, and security measures applicable to its cloud offerings as described at https://www.microsoft.com/trustcenter also extend to the Platform’s usage of Azure services.
